1. Who We Are and Acceptance of Terms

"TrueValue" is a software platform operated by TrueValue Technologies Ltd, a company registered in England and Wales under company number 17462580, whose registered office is at 66 Paul Street, London, England, United Kingdom, EC2A 4NA ("TrueValue", "we", "us" or "our").

By accessing or using the TrueValue platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including individuals and businesses using the platform for M&A advisory, business valuation, and deal management purposes. Where these Terms form an agreement between you and us, the contracting party on our side is TrueValue Technologies Ltd (company number 17462580).

2. Description of Service

TrueValue provides a comprehensive M&A advisory platform that includes:

  • Business valuation tools and automated calculations
  • Deal pipeline and CRM management
  • Virtual data room functionality
  • Document generation and e-signature capabilities
  • Due diligence tracking and compliance features
  • Team collaboration and workspace management

3. Account Registration

To use the Service, you must:

  • Register for an account with accurate information
  • Maintain the security of your account credentials
  • Be at least 18 years of age
  • Have the legal authority to enter into these Terms

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

4.1 Subscription Plans

The Service is offered on a subscription basis. Current pricing is available on our website. Subscription fees are billed in advance on a monthly or annual basis.

Your subscription is a contract with TrueValue Technologies Ltd (company number 17462580), which is the supplier of the Service and the party to whom subscription fees are payable. Payments are taken by our payment processor on our behalf.

4.2 14-Day Money-Back Guarantee

We do not offer a free trial. You become a paying subscriber when you complete checkout, with full access to the features included in your subscription from that moment.

New subscriptions are covered by a 14-day money-back guarantee: if TrueValue is not right for you, contact us within 14 days of your first subscription payment and we will refund that subscription payment. The guarantee applies to a first subscription under our current published pricing and does not apply to subscriptions entered into under earlier pricing arrangements, whose terms are unchanged.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Except under the 14-day money-back guarantee in clause 4.2, no refunds are provided for partial months.

4.4 Price Changes

We reserve the right to modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. User Responsibilities

You agree to:

  • Use the Service only for lawful purposes
  • Not share account credentials with unauthorized parties
  • Not attempt to gain unauthorized access to the Service
  • Not upload malicious content or code
  • Comply with all applicable laws and regulations
  • Respect the intellectual property rights of others

6. Data Ownership and Rights

6.1 Your Data

You retain ownership of all data you upload to the Service. We do not claim ownership of your business data, documents, or valuations.

6.2 License to Use

You grant us a limited license to process, store, and display your data as necessary to provide the Service.

6.3 Our Intellectual Property

The Service, including all software, design, and content (excluding your data), is owned by TrueValue Technologies Ltd and protected by intellectual property laws.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

Valuation Disclaimer: Valuations generated by TrueValue are estimates based on the data provided and industry benchmarks. They are for informational purposes only and should not be relied upon as the sole basis for financial decisions. We recommend consulting with qualified financial advisors for formal valuations.

We do not guarantee the accuracy, completeness, or reliability of valuations, and we disclaim liability for any decisions made based on the Service's output.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUEVALUE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

8A. Data Breach Liability

In the event of a data breach caused by TrueValue's failure to implement reasonable security measures as described in our Security Policy:

Our Obligations

  • Notification: We will notify affected clients within 24 hours of a confirmed breach affecting their data
  • Investigation: We will conduct a forensic investigation at no additional cost to affected clients
  • Regulatory Cooperation: We will fully cooperate with regulatory investigations (ICO, etc.)
  • Remediation: We will implement necessary security improvements to prevent recurrence

Client Rights

  • Termination: Affected clients may terminate their subscription without penalty if the breach materially affects their use of the Service
  • Pro-rata Refund: Terminated clients will receive a refund for any prepaid, unused subscription period
  • Data Export: We will provide full data export within 7 days of termination request

Liability Cap

Our liability for direct damages caused by a data breach shall be limited to the greater of:

  • The total fees paid by the affected client in the 12 months preceding the breach, or
  • £10,000 (ten thousand pounds)

Important: This section does not limit our liability for breaches caused by gross negligence, willful misconduct, or fraud. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

9. Indemnification

You agree to indemnify and hold harmless TrueValue Technologies Ltd, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion, with or without notice.

Upon termination, your right to use the Service ceases immediately. You may request export of your data within 30 days of termination.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales, unless otherwise required by applicable law.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
