What deal document software does

M&A document management software generates, stores, versions and circulates the documents a transaction produces, using the deal's own data — the parties, the figures, the terms — so the same fact does not have to be typed into a Word file, a spreadsheet and an email, and so the signed version can be found by anyone on the team a year later.

The failure mode this replaces is quiet. A teaser quotes last year's EBITDA because the template was copied from the last deal; an offer letter carries a price from a superseded scenario; the executed NDA is in someone's inbox. None of these are dramatic, and each costs credibility with a counterparty who notices.

How figures reach a document

A number reaches a generated document by exactly one route: from the extracted accounts or the saved valuation, through a fact pack, written over whatever the model produced. If the record does not state a figure the field is left blank and the dialog says so. That is a slower way to produce a document than letting a model fill the gaps, and it is the only way to produce one a counterparty can rely on.

The same rule applies to what the TrueValue Agent drafts. An IC memo, a teaser or an outreach email it writes is a draft on the deal for a person to read, and every figure in it is checked against the figures the Agent actually read.

Where are signed documents stored?

On the deal, under the envelope that produced them, with the certificate of completion. The stored bytes are the legal record; downloads are signed links to those bytes.

Can a client review a draft?

Yes. IM drafts can be shared to the client portal for the seller to review and comment, and the review is recorded.
