What due diligence software does
M&A due diligence software organises the investigation a buyer carries out before completing an acquisition: what has been asked for, what has been received, what it shows, who is reviewing it and what has been found. It replaces the request-list spreadsheet, the shared inbox and the status call that most teams otherwise run diligence through.
Diligence fails in predictable ways. A request is sent and never chased; an answer arrives as an attachment to a reply to a reply and is not filed against the question; a finding is noted in a call and not written down; the state of the process is reconstructed by hand before every update. None of this is a failure of judgement. It is a failure of record-keeping under time pressure, which is what software is for.

Build the list
Start from a template for a share purchase, an asset purchase or a management buy-out, organised by category — financial, legal, commercial, operational, people, tax — and edit it for the deal. The findings from a CIM analysis become items automatically when the deal is promoted.

Send it
The counterparty receives an email with a tokenised link to a page where they upload documents and reply to each item, with no account to create. The team is notified as responses land.
- Step 3
Chase it
Outstanding items are chased automatically every five days, up to three reminders, and by hand whenever you like. Human and automatic chasing share the same counters, so nobody is double-chased.

Review and record
Responses arrive against the item they answer with status pending review. Reviewers link evidence, record findings, raise red flags with a severity, and complete the item — only with evidence linked, if the workspace requires it.

Every deal has a received-documents room. Accounts dropped into it are read into financial figures — income statement, balance sheet, cash flow, working capital — and linked to the diligence items they evidence.

Missing information
The IC memo's fact pack states what the record does not hold, and any gap that a document could close becomes a request-list item in one click — never sent twice, never sent for something already outstanding.
Progress and ownership
Items have owners, due dates and status; the deal shows completion by category; the request list shows what has been answered, what is overdue and what has been chased.

They get an email, a link and a page: each request, a box to reply, a place to upload. No account, no password, no download of an app. Responses are served to your team by signed link, uploads live in your workspace's private storage, and the guest side is rate-limited and generic in its refusals, because it is exposed to the public internet by design.
Frequently asked questions
Does the seller need an account to respond?
- No. They receive a tokenised link by email and reply and upload on a page with no sign-in. Their responses land against the items they answer and your team is notified.
How does automatic chasing work?
- A daily job checks each outstanding item and emails the counterparty every five days, up to three reminders in total. A manual chase from the deal shares the same counters, so a person and the schedule cannot double-chase inside one window.
Are there checklist templates?
- Yes: share purchase, asset purchase and management buy-out templates organised by workstream, editable per deal. The due diligence checklist on this site is the same structure as a free reference.
How is evidence linked to findings?
- Each item can hold links to documents in the received-documents room or the data room. A workspace can require evidence before an item is marked complete, and the Agent is held to that rule whatever the policy.
Can it read the documents that come back?
- Accounts are read into financial statements automatically. Other documents are stored against the item; the Agent reads responses for red flags and names the document a flag was read from.
Does it work for sell-side vendor diligence?
- Yes. In adviser mode the same module runs vendor diligence on your mandate, and the pack publishes to the data room buyers see.
