Network and Introductions Terms

In force from 20 September 2026. Version 2026-09-20.

1. Scope and operator

The TrueValue network helps business buyers and M&A advisers discover relevant organisations and professional service providers. These terms apply to listings, enquiries and introductions through the network. The operator is TrueValue Technologies Ltd, company number 17462580, of 66 Paul Street, London, England, United Kingdom, EC2A 4NA. They supplement our Terms of Service where applicable.

A directory listing is not an appointment of TrueValue as your adviser or broker. Unless expressly agreed in a separate authorised engagement, we do not advise on the suitability of an adviser, negotiate a transaction, hold client money or guarantee the outcome of an introduction.

2. Information and verification labels

Listings may include information supplied by the listed organisation and relevant public or licensed sources. The submitting party must have authority to provide the profile, contact details, logo and supporting material and must keep material information accurate.

A verification label means only the particular checks described with that label, at the stated time. It is not an assurance of financial strength, insurance, professional competence, regulatory authorisation, availability or suitability unless that specific matter was expressly checked and accurately stated. It is not a guarantee that information remains current.

Before an engagement, you should independently check identity, relevant credentials, regulatory status where required, insurance, conflicts, scope, fees and the proposed engagement letter. This responsibility does not permit TrueValue knowingly to publish misleading claims or ignore its own obligation to exercise reasonable care in describing checks it has performed.

3. Enquiries and personal information

Submit an enquiry only where you are authorised to share the details included. We identify the intended recipient or clearly described recipient group before information is submitted or routed. An enquiry for one provider is not permission to broadcast confidential deal information to the entire network.

The recipient may process an enquiry as an independent controller for responding and managing its own business relationship. Its privacy notice and engagement terms apply to that processing. TrueValue's own processing is explained in our Privacy Notice; a general enquiry does not give the recipient unrestricted permission for unrelated marketing.

Minimise sensitive and confidential content in an initial introduction. Agree confidentiality and a secure channel before sharing a detailed information memorandum, personal financial records or a data-room link. Where a recipient is not yet entitled to information, do not include it merely to improve the match.

4. Independent engagements and fees

Any professional engagement, transaction or other contract with a listed provider is between you and that provider under a separate agreement. You are responsible for reviewing and accepting it. TrueValue is not a party to that engagement merely because an introduction occurred on the platform.

A listing, message or introduction does not automatically create a commission, success fee, exclusivity obligation, non-circumvention arrangement or referral entitlement. Any paid listing, sponsorship, referral arrangement or separately supplied service must have its own clearly agreed commercial terms. We do not impose a referral fee after a transaction solely because you first discovered the provider here.

Where a financial or commercial relationship materially affects placement or a recommendation, it must be disclosed appropriately. Paid promotion should be clearly identified rather than represented as an independent assessment. A separate relationship does not authorise us to disclose confidential customer deal data to a related advisory business.

5. Duties of listed organisations

Keep profile information accurate, use only authorised branding and avoid claims that cannot be substantiated. Respond professionally, protect enquiry information, respect communication objections and do not impersonate an independent customer in a review or testimonial.

Do not claim an authorisation, qualification or insurance policy you do not hold, conceal a material conflict relevant to an engagement, pay for misleading reviews, or imply that TrueValue guarantees your work. Tell us promptly if a material credential, contact detail or business status changes.

We may ask for proportionate evidence, correct a profile, remove misleading content or restrict a listing where there is a credible concern. We will normally explain the issue and give an opportunity to respond, unless urgent legal or safety considerations require immediate action. A listing is not a permanent right to placement or a guaranteed volume of enquiries.

6. Content rights and disputes

You retain rights in your submitted material and grant us the limited permission needed to host, format and display the authorised listing and route requested enquiries. We may correct formatting but will not materially change a professional claim without an appropriate basis. Removal requests are considered alongside necessary legal records and others' rights.

Report a misleading listing, inappropriate approach or dispute to legal@truevalue.business under our Complaints Policy. Supply proportionate evidence and do not post another person's confidential information to pressure them. TrueValue can investigate its own listing and routing decisions but is not a court or the professional regulator for every provider.

7. Responsibility and applicable law

We do not guarantee the accuracy of independently supplied information, a counterparty's performance or the success of a transaction. We remain responsible for our own contractual and legal duties, including accurate descriptions of our checks and appropriate handling of information.

For subscription customers, the liability and governing-law provisions of the accepted Terms of Service apply. For other participants, no provision excludes fraud, negligence causing death or personal injury, or any other non-excludable liability. Mandatory consumer and data-protection rights remain unaffected. These network terms are governed by the law of England and Wales, subject to mandatory applicable protections.
